“Whistleblowing” is a concept of Anglo-Saxon origin, designed to regulate and facilitate the process of reporting offences or other irregularities of which the whistleblower has become aware, and which provides the whistleblower with significant forms of protection.
The protection of employees who report offences was first regulated in the public sector by Article 54-bis of Legislative Decree No. 165 of 2001. The institution of whistleblowing as a system for the prevention of corruption was introduced by Law No. 190 of 6 November 2012, containing “Provisions for the prevention and suppression of corruption and illegality in the Public Administration”.
Law No. 179/2017, containing “Provisions for the protection of persons reporting offences or irregularities of which they have become aware in the context of a public or private employment relationship”, consolidated existing legislation in the public and private sectors, strengthening the tools for the protection of whistleblowers, and amended the rules on the liability of entities, supplementing Article 6 of Legislative Decree 231/2001.
Finally, Legislative Decree No. 24 of 10 March 2023 (hereinafter also referred to as the “Whistleblowing Decree”) implemented Directive (EU) 2019/1937 of the European Parliament and of the Council of 23 October 2019 on the protection of persons who report breaches of Union law and laying down provisions on the protection of persons who report breaches of national law.
In compliance with the aforementioned legislation, G.I. INDUSTRIAL HOLDING S.p.A. (hereinafter “the Company”) promotes the dissemination and use of whistleblowing as a fundamental measure to prevent and combat corruption and unlawful conduct, as well as to protect whistleblowers in accordance with the provisions and principles set out in the following documents:
- Legislative Decree No. 24 of 10 March 2023;
- Directive (EU) 2019/1937 of the European Parliament and of the Council of 23 October 2019;
- ANAC Guidelines, Resolution No. 311 of 12 July 2023;
- European Regulation No. 679/2016 and Legislative Decree No. 196/2003, as amended and supplemented.
